These Terms of Service ("Terms") govern your access to and use of the services provided by FORZ LLC ("Forz," "we," "us," or "our"), including our website at www.forz.io, our field service management platform, mobile applications, and any related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Forz is a cloud-based field service management (FSM) platform designed for field service businesses. The Service includes features for:

  • Job management, scheduling, and dispatching
  • Customer and asset management
  • Estimates, invoicing, and payment processing
  • Route planning and GPS tracking
  • Inspection modules and compliance reporting
  • Mobile applications for iOS and Android
  • Integrations with third-party services (e.g., QuickBooks)
  • Reporting and analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make commercially reasonable efforts to notify you of material changes.

3. Account Responsibilities

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials and not share them with unauthorized parties
  • Promptly notify us of any unauthorized access to or use of your account
  • Accept responsibility for all activities that occur under your account
  • Not create accounts for the purpose of abusing promotions or circumventing account restrictions

You are responsible for managing access for users within your organization, including setting appropriate permissions and ensuring that sub-contractor access is granted only to authorized parties.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks
  • Use the Service for any purpose other than its intended field service management functionality
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Resell, sublicense, or redistribute the Service without our prior written consent
  • Use automated scripts, bots, or scrapers to access the Service without authorization

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including suspending or terminating the offender's account.

5. Intellectual Property

The Service and all associated content, features, and functionality -- including but not limited to software, text, graphics, logos, icons, and trademarks -- are owned by FORZ LLC and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms for the duration of your subscription.

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to use, process, and store Your Data solely as necessary to provide and improve the Service. We will not use Your Data for any other purpose without your consent.

6. Payment Terms

The Service is offered on a subscription basis with per-technician pricing. By subscribing to a paid plan, you agree to the following:

  • Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. Per-technician fees are calculated based on the number of active technician accounts in your organization.
  • Payment method: You must provide a valid payment method. You authorize us to charge your payment method for all fees incurred under your account.
  • Price changes: We may change our pricing from time to time. We will provide at least 30 days' notice of any price increases. Continued use of the Service after a price change constitutes acceptance of the new pricing.
  • Taxes: All fees are exclusive of taxes. You are responsible for paying all applicable taxes, levies, or duties.
  • Refunds: Subscription fees are generally non-refundable. Refunds may be issued at our sole discretion on a case-by-case basis.
  • Late payments: If payment is not received when due, we may suspend access to the Service until all outstanding amounts are paid. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You acknowledge and agree that we may collect, use, and share your information as described in the Privacy Policy.

You are responsible for ensuring that your use of the Service complies with all applicable data protection laws and regulations, including obtaining any necessary consents from your customers and employees whose data you input into the Service.

8. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our control.

Support is available through our standard support channels during business hours. Premium support options may be available depending on your subscription plan.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
  • IN NO EVENT SHALL FORZ LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless FORZ LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any data you submit to the Service

11. Termination

Either party may terminate the subscription:

  • By you: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.
  • By us: We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, fail to make payment when due, or engage in activity that we determine, in our sole discretion, is harmful to the Service or other users.

Upon termination, your right to use the Service will cease immediately. We will make your data available for export for a period of 30 days following termination, after which we may delete your data from our systems.

Sections relating to intellectual property, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination will survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. For material changes, we will also provide notice through the Service or via email.

Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Service.

14. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Forz regarding the Service and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Force majeure: We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including natural disasters, acts of government, or disruptions to internet infrastructure.
